Location: This position will be primarily on-site in Newburyport, MA, with potential for remote work schedule.

Associate General Counsel Summary:

We are a rapidly growing company looking for a creative, solution-oriented, experienced Associate General Counsel (GC) to partner with General Counsel to deliver sound legal advice to the Company. The ideal candidate will be an attorney with 8+ years of general corporate law experience including mergers and acquisitions, corporate compliance, drafting and negotiating commercial contracts, employment law, and public company securities law. The Associate GC will work closely with the General Counsel and the Executive Team and will contribute at every level of the organization.

Associate General Counsel Duties and Responsibilities:

  • Takes a leadership role in mergers, acquisitions, due diligence and integrations.
  • Provides counsel on corporate compliance, HR, regulatory, IP, and general corporate legal issues.
  • Drafts, negotiates, and advises on commercial and supplier contracts, license agreements, and employee related agreements.
  • Researches general corporate issues.
  • Develops standard agreements, processes, policies, training, and strategies.
  • Coordinates litigation and other legal matters handled by outside counsel.
  • Develops and maintains strong internal working relationships across the organization.
  • Understands the objectives, responsibilities, and mission of the Legal Department and works towards those goals.
  • Performs other duties as assigned or needed.

Associate General Counsel Qualification Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • 8+ years of legal experience in a top law firm and / or in-house.
  • Active license to practice law in good standing from at least one US state bar.
  • This position is primarily on-site, but flexible to work remotely as needed.
  • Solid background in drafting and negotiating.
  • Experience in medical device and manufacturing preferred.
  • Experience in high-growth companies and working within a global organization.
  • Must be able to work a schedule commensurate with business operations, including work during weekends, holidays and / or times outside of normal business hours.
  • Domestic and international travel as necessary (up to 10 %).
  • Self-motivated with an ability to multi-task, work independently, and deliver outstanding work product.
  • Business-savvy, creative approach to problem-solving; capable of devising legal solutions in novel and pragmatic ways.
  • Willingness to roll up your sleeves, master new and unfamiliar areas of practice, get into the complex legal details, and tackle legal problems of all sizes.
  • Strong organizational skills and attention to detail.
  • Excellent interpersonal skills, business judgment, and strategic thinking.
  • Excellent written and verbal communication skills.
  • Positive work ethic and dedication to improving professional service to all of the Company's constituents.
