Corporate Paralegal

HealthPartners is currently hiring for a Corporate Paralegal. This role entails collaborating closely with attorneys to support a range of regulatory and compliance functions related to HealthPartners' health plan, care delivery, workforce, and corporate structure. The paralegal is instrumental in managing licensing, filings, regulatory reporting, legal processes, and corporate activities, ensuring the company complies with state and federal regulations. This dynamic and fast-paced position demands a proactive individual with exceptional record-keeping, problem-solving, and communication skills.

The paralegal will report to the Health Plan Deputy General Counsel.

Required Qualifications:



  • Bachelor's degree in business, legal studies, paralegal studies, regulatory affairs plus two (2) years of experience, or in lieu of a degree, five (5) years of related experience.
  • Proficient in web-based research tools.
  • Experience researching, reviewing, and analyzing information from state and federal agencies, particularly in healthcare and insurance.
  • Excellent written and verbal communication skills.
  • Ability to manage multiple priorities in a fast-paced environment.
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint).
  • Strong research skills and attention to detail.


Preferred Qualifications:



  • Experience preparing corporate filings, including corporate registrations & annual submissions.
  • Experience supporting employment immigration matters - collaborating directly with leaders and sponsored employees to support the employment immigration process.
  • Experience working with corporate transactions
  • Health Plan regulatory experience
  • Experience with contract drafting and legal documentation.


Hours/Location:



  • M-F; Days
  • This position will be onsite 3-5 days/week.


Responsibilities:



  • Corporate Licensing, Reporting, and Compliance support:

    • Assist with health plan related license applications, exemptions, renewals, NAIC Holding Company and related filings, background filings and related reporting requirements and processes.
    • Support multi-state corporate registration and annual report processes.
    • Assist with corporate filings including assumed names and trademarks.

  • Legal & Regulatory Support:

    • Assist in the Attorney General consumer complaint response process.
    • Support Health Plan Regulatory Audit Reponses
    • Support regulatory attorneys with triage processes.
    • Support attorneys with process for reviewing and monitoring legislative bills impacting the company.
    • Conduct case law research.
    • Support plan-related dispute resolution activities

  • Corporate Activities & Transactions:

    • Secure registered agent and service of process coverage in states where we have a presence.
    • Support various due diligence processes.
    • Provide assistance related to transactions.
    • Assist with real estate tax exemption filings and maintenance.

  • Immigration

    • Support the employment immigration program and collaborate closely with relevant stakeholders.

  • Contract and Documentation Support:

    • Assist in drafting, reviewing, and editing contracts as needed.
    • Provide support for assumed names, trademark filings, holding company filings, and general regulatory documentation.

  • Other Duties:

    • Perform additional duties as assigned to support the overall health plan, regulatory, and compliance functions of the department.
