The position of Senior Counsel is an exempt, intermediate level professional position responsible for providing legal counsel for multiple business units within the overall family of Mansfield Energy companies on a broad range of issues affecting oil & natural gas distribution, including supply agreements, transportation contracts, regulatory compliance and environmental law. This role partners with senior leadership and cross-functional teams to navigate complex legal challenges while protecting the Company's interests and ensuring full compliance with industry laws and standards. The position of Senior Counsel has developed a broader understanding of the petroleum and natural gas industries as well as the Company's service offerings. This position is based out of the Gainesville, Georgia headquarters, has no direct reports and will report directly to the SVP, General Counsel. Responsibilities: Contracts:
- Review RFPs/bids with appropriate department representatives and provide legal analysis.
- Communicate regularly with internal personnel involved with the contractual requests from customers.
- Draft, negotiate, and review commercial contracts involving wholesale fuel & natural gas supply, storage, logistics, and vendor relationships.
- Draft, review, and finalize legal documents, including contracts, pleadings, discovery responses, and corporate governance materials.
- Support dispute resolution, litigation management, and interactions with regulatory authorities.
- Assist with the development of new contract offerings for customers.
Advise on Legal Issues:
- Manage outside counsel on litigation, environmental claims, contract torts, and other dispute resolution matters.
- Provides strategic legal advice on a wide range of issues, including contracts, corporate governance, regulatory compliance, employment law, and risk management.
- As directed, assist with the management of litigation, including e-discovery, deposition preparation, and trial preparation, as well as with interactions with outside counsel, regulatory and legislative authorities.
- As directed, assist in handling mergers, acquisitions, partnerships, and other strategic transactions.
- Anticipate potential legal issues within the organization and recommend mitigating activities.
Compliance:
- Ensure compliance with applicable laws, regulations, and Company policies across all jurisdictions where the Company operates.
- Facilitate resolution of customer audits, as applicable.
- Assist with the development of policies and procedures of the legal department.
- Research laws and regulations as directed by the General Counsel, including laws and regulations that impact the energy industry; maintain and update the department's legal knowledge database on such laws and regulations.
- Assist with management of the department's online legal request system and identify and implement improvements to increase the efficiency of legal services provided by the department.
Research:
- Conduct research and provide memoranda on various legal and business matters; maintain and update the department's legal knowledge database on such laws and regulations.
- Generating reports for senior management on legal risk exposures and mitigation strategies.
- Conduct complex legal and factual research using online databases and other resources.
- Manage case files and legal databases, ensuring accuracy and compliance with recordkeeping requirements.
Requirements: Formal Education & Certification:
- Completion of a Law degree from an accredited law school.
- Licensed to practice law and in good standing in the States of Georgia and Texas.
Knowledge & Experience:
- Minimum of 5 years of relevant legal experience, preferably in a corporate legal department of a similar sized Company with similar risk exposure or reputable law firm.
- Extensive experience in commercial contract drafting and negotiation.
- Solid understanding of Microsoft suite of products including Word and PowerPoint.

Work Environment & Travel:
- 40-hour work week with 3 days in the office and 2 days remote, business conditions permitting. Eligibility for the hybrid work week begins after completion of the ninety-day introductory period of employment where all training will occur onsite.
- Ability to travel overnight, including weekends, 1-2 times a month is required.
- Must be available to work flexible hours as needed including evenings & weekends as needed.
