Job # PR25185 Job Title Deputy General Counsel Office Location Houston, TX preferred Business Function/Department Legal Sales Territory, if applicable General Role Description Autonomously lead and execute the drafting and negotiation of a broad range of commercial contracts and provide cross-functional legal and risk management guidance to the organization. Role Accountabilities - Independently lead the Company's sales and business teams in the negotiation of contract terms, including transactions for capital goods, industrial equipment, and services, that are balanced in the allocation of risk, recognize realistic divisions of responsibility between client and the Company, and afford the Company appropriate liability protections - Identify and analyze risks and trends in contracts and risk positions to drive both minimal-risk contract content and successful sales team strategy development to secure orders - Monitor and identify external global and regional trends and issues with potential impact on the business - Execute responsibilities of General Counsel, as requested or necessary - Recommend and implement appropriate contractual and risk management strategies to address external global and regional trends and issues with potential impact on the business, as approved - Draft compliance and/or corporate policies and procedures, as requested by General Counsel - Maintain and continuously improve the relationship between the function and the Company's sales and business teams by which orders strategies are implemented and contract terms negotiated effectively - Build relationships and collaborate with parent company and other group company personnel, including leading the negotiation of global terms that apply to multiple group companies, when requested - Develop and execute global business strategies and initiatives and secure expert input on legal issues in cooperation with General Counsel, Company, parent company and other group company executive leadership and peers - Evaluate and report on Company compliance with certain laws, regulations, policies, practices, or procedures, as requested by the General Counsel - Independently provide guidance on day-to-day commercial contract and project execution matters - Review and provide feedback on work product of other members of the legal department in coordination with General Counsel - Manage outside counsel matters, including selection, deployment and quality control, as requested - Develop, improve and maintain the Company's contract forms and other legal resources - Proactively assess processes, technology, services and products pertinent to the Legal department and make recommendations to General Counsel for continuous improvement - Proactively and positively promote and exemplify the Company brand to internal and external contacts and the general public - Proactively and positively promote a culture of superior performance, ethical conduct, professional development, and personal learning, by setting an example for others to follow General Employee Accountabilities - Bring full effort to bear on tasks assigned by manager - Give manager best advice - Give earliest notice when work cannot be delivered as specified - Cooperate and collaborate with peers and interact cross-organizationally as specified by manager - Exemplify Company Core Values: Integrity, Client Focus, Team Orientation, and Personal Commitment - Comply with all Company policies, practices, and procedures and all regulations and laws - Recommend viable improvements proactively - Ensure effective utilization of business tools and processes Job # PR25185 Job Title Deputy General Counsel Office Location Houston, TX preferred Business Function/Department Legal Sales Territory, if applicable General Role Description Autonomously lead and execute the drafting and negotiation of a broad range of commercial contracts and provide cross-functional legal and risk management guidance to the organization. Preferred Qualifications - 9 years' legal work experience, including at least 3 years' experience in the corporate/commercial practice group of a large law firm and at least 3 years' in-house counsel experience with a focus on commercial contracts - Experience managing contracts and commercial support staff - MBA - Experience working with multinational corporations in either a business or legal function - Experience drafting and negotiating cross-border, M&A, services, equipment purchase and sale, construction, project management and IP transactions ink to TMEIC Corporation Americas website: https://www.tmeic.com/.
